Organizational Processes

2010.13 Advocating for Students’ Rights                                                                                   

            That BCCPAC advocates for the rights of students in the public education system as the need arises with respect
       to systemic issues.



2009.26 Supporting Members during AGMs

That BCCPAC support its members to help them be informed during AGMs with an end of the day AGM update sent electronically to members by someone who is approved by the Board effective immediately.

 

2009.24 President and CEO Signature

That during any period where the President is also the CEO, all communications from the President will indicate the capacity in which he or she is speaking by signing he document with only one of the two titles carried.

 

2009.23 Employment of Directors after Service

That the Board of Directors, in drafting the new constitution and bylaws, include a provision that ensures that a former director must wait a minimum of eighteen months before seeking employment or contracts with BCCPAC and further that this provision be immediately adopted as internal policy.

 

2009.22 Hiring an Executive Director

That the Board of Directors embark on a process to hire an Executive Director for BCCPAC and that this process be initiated expeditiously.

 

2007.1 Vacancy in Board of Directors

That BCCPAC change Bylaw 5.19 Vacancy in Board of Directors to the following:
5.19 Vacancy in Board of Directors
1. When a vacancy on the Board occurs for any reason, the remaining Board members may appoint a person to fill the vacancy, as a voting member of the Board. That person must be nominated by a member Parent Advisory Council or District Parent Advisory Council in good standing. The term of the Board member so appointed will end at the next scheduled Annual General meeting.”


 

2007.2 Length of Term of Past President

That BCCPAC change Bylaw 5.17 Immediate Past President to read:
5.17 The Immediate Past-President shall be an ex officio member on the Board, entitled to notice of, attend and speak at but not vote at, Board meetings; and that the term of office shall be one year.


 

2007.4 Consideration for Life Membership for Past Presidents

That the Bylaws of BCCPAC be amended so that consideration is given by the Life Membership Committee to awarding life membership to Past Presidents of BCCPAC. As part of this process, the current board will put forward its recommendations on the Past President to the Committee, once the Past President had ceased to be on the board in any capacity. For the Annual General Meeting of 2008, the Committee shall also consider Past Presidents in the past.


 

2007.5B Mover to Close Debate

That the mover of a motion at a general meeting be provided the option to make final comments to close a debate.


 

2007.5C Amending Motions at General Meetings

That motions may be amended beyond the scope of notice with the approval by 75% of votes cast in person or by proxy and will take effect at the end of the 2007 AGM.


 

2007.19 BCCPAC Governance Processes

That the Membership, at its 2007 Annual General Meeting, strike an ad-hoc committee to conduct research and make recommendations with respect to the governance processes and structures appropriate for the future of BCCPAC;
And that these recommendations be processed at the 2008 Annual General Meeting.


 

2007.20 BCCPAC Members Council

That the membership, at its 2007 Annual General Meeting, strikes an ad-hoc committee to analyze and recommend actions required to consider the implementation of a Member’s Council with representation from each school district and report back to the 2008 AGM.


 

2006.3 Full Membership for District Parent Advisory Councils

That District Parent Advisory Councils be granted Regular Member status and that the Constitution and Bylaws be amended as follows:

2.04 Annual membership fees for Regular membership, District Parent Advisory Council membership and associate membership may be established by ordinary resolution and if established shall be payable at the beginning of the membership year. 3.09 Each Regular Member shall appoint one official delegate to represent it and cast its vote at any annual general or extraordinary meeting of the Society. Every District Parent Advisory Council shall appoint one delegate to represent it and participate in discussion and debate at any annual general or extraordinary meeting of the Society, but no District Parent Advisory Council shall have a right to vote. Each Regular Member shall appoint one official delegate to represent it and cast its vote at any annual general or extraordinary meeting of the Society.
4.09(b) District Parent Advisory Council official delegates, Honorary and Life Members are not entitled to vote, but are entitled to speak and be heard at general meetings. Honorary and Life Members are not entitled to vote, but are entitled to speak and be heard at general meetings.

 

2006.19 Changes to Bylaw 5.11 Nominations

That Bylaw 5.11 (Current) “The Nominations Committee shall receive nominations for the Board of Directors until 60 days before the annual general meeting, at which time nominations shall be declared closed.” be deleted and replaced with:
5.11 (Revised) “The Nominations Committee shall receive nominations for the Board of Directors until February 28th before the Annual General Meeting, at which time nominations shall be declared closed.”


 

2005.1 Changes to Bylaw 7.02(b) Duties of the President

That Bylaw -7.02 The President shall:
b) be the Chief Executive Officer of the Society unless otherwise determined by the Board and shall supervise the other officers in the execution of their duties;
be deleted and replaced with -7.02 The President shall:
b) be the Chief Executive Officer of the Society, if an Executive Director is not currently employed by the Society, or if otherwise determined by the Board;
c) shall support the other officers in the execution of their duties;


 

2005.2 Changes to Bylaw Regarding Treasurer’s Position

That Bylaw 7.07 - The Treasurer shall:
(a) have a demonstrated ability and/or understanding of bookkeeping procedures;
be deleted and replaced with Bylaw 7.07 - The Treasurer shall:
(a) have a demonstrated ability and understanding of Generally Accepted Accounting Principles (GAAP) as well as experience in the preparation and interpretation of financial statements and budgets.


 

2005.3 Life Membership Bylaw Change

That Bylaw 2.03(d), Life Member, be repealed and replaced by:
May 2005, Bylaw 2.03(d) Life Member—This category of membership is restricted to parents who have been actively involved in BCCPAC and have made an outstanding contribution to the advancement of the purposes of BCCPAC. The service to the Society by this individual would be considered innovative and of significant lasting importance to furthering the inclusion and support of parents in the BC public education system and the improvement of education for children in BC. It is intended to reflect honour upon BCCPAC as well as upon the individual. This person would be recommended for life membership by at least five member PACs or DPACs in good standing, whose life membership is then approved by the Board based on criteria stated in the Regulations.


 

2005.4 Two Year Terms for Board Members

That Part 5 of the BCCPAC Bylaws be repealed and replaced with the following:

PART 5 DIRECTORS AND OFFICERS
Board of Directors
5.01 At each annual general meeting the voting members shall elect the following persons who, once elected, shall be a director for a two-year term:
  1. President (even years)
  2. First Vice-President (odd years)
  3. Second Vice-President (even years)
  4. a number of additional directors, the number of which will be determined by the members but shall not be less than three (half to be elected in even years and half to be elected in odd years)
Treasurer and Secretary May be Elected
5.02 At each annual general meeting the voting members may elect the following persons who, once elected, shall be a director for a two-year term:
  1. Treasurer (odd years); and
  2. Secretary (even years).
Treasurer Not Elected
5.03 If a Treasurer is not elected at an annual general meeting, nor appointed after nomination by a member Parent Advisory Council, according to Bylaw 5.18, the Board may appoint the Treasurer. The Treasurer so appointed will not be a director but will be entitled to receive notice of, attend, and speak at, but not vote at, Board meetings.

Secretary Not Elected
5.04 If a Secretary is not elected at an annual general meeting, nor appointed after nomination by a member Parent Advisory Council, according to Bylaw 5.18, the Board may appoint the Secretary. The Secretary so appointed will not be a director but will be entitled to receive notice of, attend, and speak at, but not vote at, Board meetings.

Eligibility
5.05 Only persons nominated with approval of their member Parent Advisory Council will be eligible to be elected pursuant to Bylaws 5.01 and 5.02 and their nomination forms shall be signed by two members of the member Parent Advisory Council executive.
5.06 Candidates for the board of directors shall be a parent of a child in the K-12 public school system at the time of nomination and election.
5.07 Members of the Board of Directors who have completed their term of office are eligible for re-election provided they meet the criteria for nomination and conform to Bylaw 5.14.
5.08 No members of the Board shall be an employee or an elected official of any school district or of the Ministry of Education.

Procedure of Elections
5.09 Annual general meetings in which the Board is to be elected will be conducted efficiently and with fairness to the members present.

Nominations
5.10 The Board shall appoint a Nominations Committee prior to the annual general meeting. The Nominations Committee shall ensure that notice for nominations is distributed to all Regular Members in good standing at least 120 days prior to the annual general meeting.
5.11 The Nominations Committee shall receive nominations for the Board of Directors until 60 days before the annual general meeting, at which time nominations shall be declared closed.
5.12 A member of the Board who is in the first year of their term and who wishes to run for a different position (i.e. First Vice-President running for President) shall be permitted to do so without resigning or taking a leave of absence. If the Board member is successful in their campaign then a new Board member to fill the vacated position shall be elected or appointed as per Section 5.19. If the person is unsuccessful in their campaign they shall continue in their position for the remainder of their term.

Term of Office
5.13 Outgoing members of the Board shall hold office and represent the Society for thirty days after the annual general meeting in order to facilitate the change and orientation of new Board Members.
5.14 The President, the First Vice-President, the Second Vice-President and the Special Advisor(s), if any, shall not hold their respective offices for more than two consecutive terms.
5.15 The Secretary and Treasurer shall hold office until their respective successors are elected or appointed, whether or not they are Directors.
5.16 Any Board Member whose child leaves the public school system in the year in which the Board Member is elected will be permitted to serve the remaining portion of the first year of their term and then must resign. At the annual general meeting, an election will be held to fill the newly vacated position for the remainder of the term.

Immediate Past President
5.17 The Immediate Past-President shall be an ex officio member of the Board, entitled to notice of, attend and speak at, but not vote at, Board meetings; and the term of office shall be no longer than two years.

Special Advisor
5.18 Following each annual general meeting the Board may appoint one or more Special Advisor(s) who may attend and speak at, but not vote at, Board meetings.

Vacancy in Board of Directors
5.19   (a) If there is any vacancy in the Board for any reason, the remaining Board members shall appoint a person who is a member of a member Parent Advisory Council in good standing and who is nominated by that Parent Advisory Council as a member of the Board to fill the vacancy. The term of the Board member so appointed will end when the original term would have ended.
    (b) If three or more vacancies in the Board arise at the same time more than 150 days before the annual general meeting, the remaining Board members shall call for a by-election to fill the vacancies. The by-election shall be conducted by a special mail out to all voting members calling for nominations, followed by voting by fax or surface mail in a timely manner to be determined by the Board.

Office to be Vacated

5.20 The following are grounds for termination of the office of any Board member:
  1. is a member of a Parent Advisory Council who ceases to be a member of the Society;
  2. is absent from two consecutive meetings of the Board without prior written consent of the President;
  3. is found to be incapable of managing his or her own affairs by reason of mental infirmity;
  4. is convicted of a criminal offence or other serious offence; or
  5. fails to observe the constitution and bylaws, purposes, or policies of the Society.
5.21   (a) The decision to terminate a Board member's position for reasons set out in section 5.20 shall be decided at a Board meeting attended by not less than 80% of the Board, excluding the Board member in question.
    (b) Such action to terminate the Board member's position shall require a 14 day written notice to the Board member in question prior to the Board meeting.

Removal of Board Member by Members
5.22 The members may by special resolution remove a Board member before the expiration of his term of office, and may elect a successor to complete the term of office.

Remuneration
5.23 At no time shall remuneration be paid to directors or officers for their services to the Society.
5.24 The members of the Board shall be reimbursed for all expenses necessarily and reasonably incurred by them while engaged in the affairs of the Society.

Powers of the Board of Directors 5.25 The members of the Board as a whole may exercise all the powers and do all the acts and things that the Society may exercise and do, and which are not by these Bylaws or statute or otherwise lawfully directed or required to be exercised or done by the Society in general meeting, but subject, nevertheless, to:
  1. all laws affecting the Society;
  2. these Bylaws; and
  3. rules, not being inconsistent with these Bylaws, which are made from time to time by the Society in general meeting.
5.26 No rule, made by the Society in general meeting, invalidates a prior act of the members of the Board that would have been valid if the rule had not been made.


 

2003.32 Up-to-date Resolution Tracking

That the BCCPAC Board of Directors, by the end of June 2003, institute a process to update (a minimum of three times per year) the recording of actions taken, results and further actions needed on current policies in the Statement of Policy, using the Resolution Tracking document and ensure it is posted on the website.


 

2001.11 Creation of BCCPAC’s Communication Policies & Procedures to Ensure Members’ Voices are Heard and Represented

That BCCPAC have consistent communication (through list serve email) with their entire BC membership by making the draft minutes of their meetings and agendas available in a timely basis prior to the next meeting, send copies of their “Resolution Tracking Reports” on regular basis through list serve email and encourage their District Associates (DAs) to be in communication with the member PACs in their districts, to get PACs’ input on matters they (the DAs) are given opportunity to have input on. This will assist PACs’ voices being heard and represented in their “BC Parents’ Organization”. It is in BCCPAC’s interest (and in the best interest of their membership) that they be in contact with their member PACs throughout the province via their DAs.


 

1997.10 Canadian Home and School Annual Meeting

That the Board designates will represent BC parents at the CHSF Annual Meeting and that any resolutions passed at that meeting will be brought forward for consideration by BCCPAC members at the following BCCPAC AGM for approval.
